I. Terms and Conditions for Private Customers

Scope of Application/Delivery Area

All business relationships between Kunst&Dünger Solutions Italy GmbH and the customer shall be governed exclusively by these Terms and Conditions in the version valid at the time of the order, even if they are not expressly agreed again. Conflicting or supplementary terms and conditions of the client (customer/buyer) and verbal agreements shall only be binding if confirmed in writing by the seller, Kunst&Dünger Solutions Italy GmbH.

Cancellation
The customer may cancel their order by sending a cancellation by email to Kunst&Dünger Solutions Italy GmbH immediately after placing the order. Kunst&Dünger Solutions Italy GmbH will then confirm the cancellation of the order in writing. Where there are reasonable grounds, such as late payment or non-payment of previous deliveries, Kunst&Dünger Solutions Italy GmbH shall be entitled to revoke or cancel orders.

Conclusion of Contract

All offers are non-binding. The prices shown shall remain binding until they are updated. A contract between Kunst&Dünger Solutions Italy GmbH and the customer shall be concluded when the customer places an order by email or via the online shop and Kunst&Dünger Solutions Italy GmbH issues the corresponding written order confirmation. Images, dimensions and weight specifications in information and advertising materials are non-binding. Printing errors, mistakes and changes are reserved.

The customer may cancel their order by sending a cancellation by email to Kunst&Dünger Solutions Italy GmbH immediately after placing the order. Kunst&Dünger Solutions Italy GmbH will then confirm the cancellation of the order in writing. Where there are reasonable grounds, such as late payment or non-payment of previous deliveries, Kunst&Dünger Solutions Italy GmbH shall be entitled to revoke or cancel orders.

Prices
All prices in the stated currency are non-binding and are quoted ex works, plus transport costs and statutory value added tax, unless otherwise provided by law.

Delivery
The ordered goods shall be made ready for collection within the period agreed with the customer. Unless otherwise agreed separately, shipping costs shall always be borne by the buyer. Transport damage must be reported by the buyer/recipient to the transport company immediately upon receipt of the contractual goods and notified to Kunst&Dünger Solutions Italy GmbH. This applies only to transport arranged by Kunst&Dünger Solutions Italy GmbH. Shipping shall take place at the buyer’s risk. If the products ordered by the customer are unavailable or only partially available, the customer shall be informed without delay, either by means of the order confirmation or by direct contact. In this case, Kunst&Dünger Solutions Italy GmbH reserves the right to withdraw from the contract. If the customer is in default with payment for an earlier delivery, Kunst&Dünger Solutions Italy GmbH reserves the right to withhold deliveries or refuse orders without being obliged to compensate for any resulting damage.

Retention of Title
Current account/balance clause (business relationship clause): The seller shall retain title to the goods until all claims of the seller against the buyer arising from the business relationship, including future claims arising from contracts concluded simultaneously or at a later date, have been settled in full. This shall also apply if individual or all claims of the seller have been included in a current account and the balance has been drawn and acknowledged.

Right of Return
As a general rule, ordered items may be returned within a maximum of fourteen days after receipt of the goods against reimbursement of the purchase price paid. The goods must be returned in as-new condition and in their original packaging. Except in the case of production defects, the transport costs for the return shipment shall be borne by the buyer. In all cases, Kunst&Dünger Solutions Italy GmbH must be notified in writing before the goods are returned or sent back. If the goods are custom-made for the customer, the right of return shall not apply. In this case, only defective products may be replaced, whereby Kunst&Dünger Solutions Italy GmbH shall have the right to decide on a case-by-case basis whether the defective products are replaced, reproduced or credited. No claim for damages exceeding reimbursement of the costs shall exist.

Warranty and Liability
The warranty period shall be twenty-four months from the handover of the goods. Obvious defects must be reported in writing no later than two weeks after receipt of the goods. In the event of a warranty claim, Kunst&Dünger Solutions Italy GmbH may remedy the defect by repair, replacement delivery, reimbursement or crediting of the purchase price. Replacement goods shall generally be delivered free of charge. If rectification of the defect or replacement delivery fails, the buyer may withdraw from the contract or request a reduction in the purchase price. Any further claims by the customer, in particular claims for damages, are excluded unless the damage was caused intentionally or through gross negligence by Kunst&Dünger Solutions Italy GmbH or its agents.

Copyright
Kunst&Dünger Solutions Italy GmbH retains the copyright to offers, drawings, samples, photos, graphics and other documents. They may not be made accessible to third parties without the written consent of Kunst&Dünger Solutions Italy GmbH. In the case of custom-made products for the customer, the customer shall be liable for ensuring that Kunst&Dünger Solutions Italy GmbH does not infringe any third-party rights, in particular property rights, copyrights and reproduction rights, when carrying out the order.

Force Majeure
In the event of force majeure, such as war or natural disasters, Kunst&Dünger Solutions Italy GmbH shall be released from its obligation to perform. If the impediment lasts longer than 30 days, the customer shall be entitled to withdraw from the contract. Further claims for damages or other claims are excluded.

Product Updates
Product images and descriptions in brochures and in the online shop may differ from the products currently available for delivery. Kunst&Dünger Solutions Italy GmbH reserves the right to supply equivalent successor products.

Use of Product Images and AI-Assisted Visualisations
To illustrate the possible uses of our products, we sometimes use AI-assisted image editing or computer-generated ambient visualisations. These are used exclusively as examples of possible areas of application.

The products shown themselves are not altered in this process. The product images on the relevant product detail page, the product description and the technical data shall be decisive for the design, scope of delivery, colour, dimensions and technical characteristics.

Payment Terms
The prices valid at the time of the order shall apply. In the case of credit card payments, the payment information shall be forwarded to the credit institution no later than the transfer of risk. Reductions from invoices, such as discounts not agreed upon, deductions for packaging, postage deductions or other deductions not approved by Kunst&Dünger Solutions Italy GmbH, shall remain outstanding amounts and will be collected. In the event of late payment, reminder fees and interest shall be charged. Once the payment deadline set in the third reminder has expired, the claim shall be transferred to a debt collection agency or law firm.

Minimum Order Value
The minimum order value is €25.00 for goods, excluding transport, service or handling costs, per order. Orders below this minimum order value shall be subject to a processing fee of €10.00.

Data Protection
The personal data required for processing the contract shall be provided by the buyer and stored by Kunst&Dünger Solutions Italy GmbH as part of the proper processing of the order. Kunst&Dünger Solutions Italy GmbH guarantees the highest security standards and undertakes to protect the buyer’s data against any unauthorised access within the limits of technical feasibility.

Final Provisions
If one or more provisions of these Terms and Conditions become invalid, the validity of the remaining provisions shall remain unaffected. The invalid provision shall be replaced by the applicable statutory provision. The place of jurisdiction shall be Bolzano/Bozen, and Italian law shall apply. The German-language version of these Terms and Conditions shall be legally binding.

The buyer must use sufficient packaging to ensure that the goods are protected against possible damage during transport. For liability reasons, transport must be organised and paid for by the buyer. Kunst&Dünger Solutions Italy GmbH reserves the right to charge a processing fee. In the event of product defects, Kunst&Dünger Solutions Italy GmbH shall decide whether collection is necessary. If collection is required due to a product defect, Kunst&Dünger Solutions Italy GmbH shall organise the transport and bear the costs. In all cases, the buyer must use sufficient packaging to ensure that the goods are well protected during transport and that no further damage occurs. If the goods are custom-made for the customer, the right of return shall not apply. Kunst&Dünger Solutions Italy GmbH reserves the right to decide, depending on the circumstances, whether defective products are replaced, reproduced or credited. No further claim for damages due to possible lost orders on the part of the customer shall exist under any circumstances.
